Donna Clayton brings over twenty years' experience as a corporate attorney to the practical, efficient and cost-effective resolution of corporate issues.
Ms. Clayton brings a business perspective to the practice of corporate law, because she recognizes that business decisions about legal matters are taken in the context of cost, benefit and risk mitigation. She has experience with a wide variety of business models, and takes into account the tactical and strategic implications of legal issues. As in-house counsel for a global corporation, including the position of Vice-President and business unit general counsel, Ms. Clayton was responsible for all corporate legal matters, including formation, maintenance and compliance, mergers and acquisitions, contracts, export control, and business development. She encourages more cost-effective solutions than the inevitably disruptive, last-resort litigation option. Ms. Clayton's corporate experience includes:
Corporate Formation
· Advising numerous clients regarding the best entity and structure to achieve the clients' objectives, including drafting and reviewing formation documentation
· Pro bono counsel on formation and governance issues for 501(c)(3) corporations
Maintenance and Compliance
· Annual maintenance and compliance such as drafting board and shareholder resolutions and maintaining company minute books, including serving as corporate secretary
· Drafting and reviewing operational documents such as non-competes, nondisclosure, and confidentiality agreements, contracts, leases, promissory notes, and settlement and compromise agreements
· Drafting and maintaining employee handbooks, incorporating appropriate regulatory compliance
Mergers and Acquisitions
· Acquisitions ranging in size from $1 million to $150 million
· Representation of both buyers and sellers in drafting and reviewing documentation for stock and asset acquisitions and joint ventures including: letters of intent, nondisclosure agreements, purchase and sale documentation, and all related and supporting documentation
· Ms. Clayton has taught mergers and acquisitions law at various institutions, including law school
